Terms of Use Agreement
Access to the Dannible & McKee, LLP Online Document Management System is subject to the following terms and conditions between Dannible & McKee, LLP (the “Firm”) and you the “User”. Use of the Firm’s Online Document Management System after amendment of any terms and conditions shall constitute User’s agreement to be bound by such amended terms and conditions. The Firm, at its sole discretion, may modify, restrict or discontinue access to the Online Document Management System at any time, without notice or liability.
1. Purpose
The Firm owns and provides access to its Online Document Management System in order to provide for a simple and secure means of transferring electronic documents and other data between the User and the Firm. The Firm’s Online Document Management System also provides the User with access to certain electronic documents and other data created by or maintained by the Firm. The Firm’s Online Document Management System is provided exclusively to the User and is intended for their sole use.
2. Terms of Use
The Firm will establish individual accounts for Users who request access to the Firm’s Online Document Management System. Each individual User is solely responsible for maintaining the security of their individual username and password. In the event of any breach of security or unauthorized use of a User’s username and password, User agrees to promptly notify the Firm in writing. Until the Firm receives such notification, User will be held liable for any damages resulting from the unauthorized use of such username and password. User agrees to notify the Firm in writing in the event an account should be terminated. Events causing the termination of an individual user account include, but are not limited to, the withdrawal or termination any User who is under the employment of an existing client of Dannible & McKee, LLP and the violation of any of the terms and conditions of use of the Firm’s Online Document Management System.
The Firm agrees to use every means necessary to ensure that the Firm’s Online Document Management System is secure from unauthorized access. The Firm’s Online Document Management System and the Firm’s network operating system maintain continuous virus-scanning software and backup capability. The Firm shall not be responsible for any technical malfunctions, damage or interruption in service to any telephone lines, fiber-optic lines, computer servers, computer systems, software or any other computer-related peripherals and equipment as a result of User’s use of the Firm’s Online Document Management System.
As a condition of the use of the Firm’s Online Document Management System, User agrees not to use the Firm’s Online Document Management System for any purpose that is unlawful or prohibited by these terms and conditions. In addition, the User agrees not to use the Online Document Management System in any manner which will result in the damage or interruption of the Firm’s Online Document Management System or the Firm’s website. User also agrees not to transfer to the Firm’s Online Document Management System any electronic files or data that knowingly contains any computer viruses and/or malicious code. User agrees not to transfer to the Firm’s Online Document Management System any executable programs (*.exe), program codes or databases without the prior written approval from the Firm.
